1. Acceptance of Terms

By accessing or using the Risk Quantified platform (the "Service"), provided by Risk Quantified, LLC ("Risk Quantified," "we," "our," or "us"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including both individuals and entities. If you do not agree to these Terms, please do not use the Service. Your continued use of the Service after any updates to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

Risk Quantified provides a software-as-a-service platform designed to quantify key organizational risks, analyze alignment with your organization’s balance sheet and risk tolerance, calculate insurance program ROI, and recommend optimizations for insurance policy structuring. The Service is provided "as is," and we reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. While we strive to maintain uninterrupted access, we do not guarantee the Service will be error-free or always available.

3. User Accounts

To access the Service, you must register an account. When registering, you agree to:

• Provide accurate, current, and complete information, including your name, email address, and password.
• Maintain and promptly update your account information as needed.
• Protect your account credentials and notify us immediately of any unauthorized use or security breaches.

Accounts are intended for individual use only and may not be shared among multiple users unless explicitly permitted under an Enterprise Plan. You are responsible for all activities under your account. We may suspend accounts for suspected misuse pending investigation.

4. Subscription and Payment

• Free Trial: You may access a 14-day free trial of the Service. At the end of the 14-day free trial, your account will require you to select a subscription plan to continue using the Service.
• Plans: Subscription plans include monthly or annual options (Professional Plan) available for purchase via our website. Enterprise Plans require direct consultation with our sales team and are subject to separately negotiated terms and conditions.
• Payment: Payments must be made using the accepted payment methods specified during registration. All subscription fees are non-refundable unless we explicitly state otherwise.
• Auto-Renewal Subscriptions auto-renew unless canceled at least 7 days before the renewal date via your account settings.
• Taxes Fees exclude applicable taxes, which you are responsible for unless you provide valid tax exemption documentation. Taxes may be added to the invoice when required and are payable by you.
• Non-Refundable All subscription fees are non-refundable unless we explicitly state otherwise.

5. Price Changes

We may adjust subscription pricing at our discretion. We will notify you of any price changes via email and/or by posting a notice on our website at least 30 days before the changes take effect. Continued use after the subscription start date constitutes acceptance. Existing subscriptions will remain at the original price until the next renewal.

6. User Restrictions

You agree not to:

• Redistribute or transfer content from the Service outside your organization or authorized clients.
• Attempt to reverse-engineer, duplicate, or replicate our proprietary methodologies.
• Resell or commercialize access to or outputs from the Service.
• Engage in unauthorized access or illegal activities while using the Service.
• Use the Service for any unlawful purpose or in a way that could damage, disable, or impair the Service or Risk Quantified’s reputation.
• Create derivative works or competing products based on the Service.

7. Intellectual Property

• Our Property: All proprietary algorithms, models, software, methodologies, and tools are the sole property of Risk Quantified, LLC. We retain all rights, title, and interest in the Service.
• Your Data: You retain ownership of the data you submit to the Service ("User Data"). Risk Quantified owns the outputs generated by the Service (e.g., reports and analyses) and grants you a license to use these outputs for your internal business purposes.

8. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, provided you comply with these Terms and make timely payment of all applicable fees.

9. Privacy and Data Security

• Usage: User data will be used solely to deliver the Service, perform internal analytics, and improve our products. We will not share your data with third parties without your explicit consent or unless required by law.
• Security: We maintain robust security measures, including multi-factor authentication (MFA), encrypted data storage, frequent backups, and more. For details, see our Privacy Policy.
• Data Retention We retain User Data for as long as necessary to provide the Service or as required by law. You may request data deletion via legal@riskquantified.com.

10. Disclaimers and Limitation of Liability

• Informational Use: The Service provides informational outputs only. While we strive for accuracy, we do not guarantee completeness or reliability. Combine our outputs with professional expertise and additional research.
• Liability: Risk Quantified is not liable for direct, indirect, incidental, consequential, or special damages arising from reliance on or misuse of the Service. Our total liability under these Terms will not exceed the fees you paid in the twelve (12) months prior to any claim.
• No Warranties: The Service is provided "as is" and without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Data Backup: You are responsible for maintaining backups of your User Data. We are not liable for data loss.
• Indemnification: You agree to indemnify, defend, and hold harmless Risk Quantified, LLC and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees) arising out of your use or misuse of the Service, your violation of these Terms, or your violation of applicable laws or regulations.

11. Termination

We may suspend or terminate your account if you:

• Violate these Terms.
• Fail to pay subscription fees on time.
• Engage in fraudulent or illegal activities.

For violations, termination may be immediate. For non-payment, we’ll provide 14 days’ notice and an opportunity to cure. Upon termination, your access to the Service ends immediately.

12. Modifications

We may update these Terms periodically. Significant changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after notification means you accept the updated Terms.

13. Governing Law and Dispute Resolution

The Service may integrate with third-party applications or services (“Third-party Services”). Your use of such Third-party Services is governed by the terms and conditions of the respective third-party providers. You are responsible for reviewing and agreeing to those terms. Risk Quantified is not responsible for the performance, reliability, or any other aspect of the Third-party Services and disclaims all liability related to your use of such integrations.

14. Compliance

These Terms are governed by the laws of the State of Wyoming, where Risk Quantified, LLC is licensed. Any disputes arising under these Terms will be resolved through confidential binding arbitration administered by the American Arbitration Association (AAA) in Wyoming.

Compliance

You must comply with all applicable federal, state, and local laws and regulations when using the Service. You are responsible for ensuring your use aligns with relevant industry standards and regulations.

16. Miscellaneous

• Entire Agreement: Entire Agreement: These Terms are the full agreement between you and Risk Quantified regarding the Service. Our failure to enforce any part doesn’t waive our rights.
• Severability: If any provision is invalid, the rest of the Terms remain in effect.
• Data Responsibility: You’re responsible for the accuracy, legality, and appropriateness of your User Data.
• Force Majeure: We’re not liable for delays or failures due to events beyond our control (e.g., natural disasters).
• Assignment You may not assign your rights under these Terms without our prior written consent.
